Predee is a Founder and Managing Partner of Principle Law and Advisory, where he helps clients navigate complex business and legal matters with clarity and confidence.
Predee provides counsel and representation to clients in a wide range of commercial and business transactions, encompassing hospitality, real estate, digital and technology law, data protection, employment, corporate, banking, and finance. Predee specializes in guiding corporations, small and medium enterprises (SMEs) and startups through domestic and cross-border M&A transactions. In addition, Predee regularly advises on succession and inheritance planning, and the development of family constitutions for multi-generational family businesses.
As a former Legal Director in a renowned hospitality and real estate specialized law firm, he has deep knowledge in hotel and hospitality-related contracts, real estate transactions, and high-value asset matters. He has guided numerous international and local clients in entering the Thai and Asia-Pacific markets, advising on the BOI investment promotion scheme, foreign business license requirements, and REIT structuring for hotels and mixed-use developments.
Recently, he has developed a strong professional interest in laws relating to climate change and sustainability, providing guidance to clients on regulatory trends, compliance, and ESG-related strategies. He also advises healthcare organizations on regulatory compliance, corporate governance, and sector-specific operational matters.
He has been a guest lecturer at Ramkhamhaeng University and other respected hospitality academic institutions. Predee holds an LL.M. with Merit from the London School of Economics and Political Science (LSE), United Kingdom, and an LL.B. (First Class Honors) from Chulalongkorn University. He is also a licensed Thai notarial services attorney and Thailand Attorney-at-Law.

Represented a Malaysian listed renewable energy and resources company in its acquisition of stakes in a Thai organic agricultural-related business. The transaction included conducting and preparing comprehensive land and corporate due diligence reports, as well as negotiating a Share Purchase Agreement, a Share Subscription Agreement valued at THB 55 million and a Shareholders’ Agreement. The scope of work encompassed structuring the transaction, addressing regulatory considerations, and ensuring the client’s strategic and operational objectives were fully protected.

Represented a luxury Thai wellness and healthcare brand in connection with the sale of shares in its company by a renowned Thai listed entertainment company. The work involved advising on deal structure, protecting brand and operational continuity.

Represented a well-known Thai food industry group, as buyer, in a series of acquisitions involving diverse F&B businesses, including a Thai dessert company, a national fast-food restaurant chain, a renowned café and bakery, an instant ready-to-cook meal producer, and a barbecue grill restaurant chain entering the Bangkok market. The scope of work included reviewing and negotiating Asset Sale and Purchase Agreements (including a transaction valued of up to THB 22.5 million) and Shareholders’ Agreements. The transactions required strategic advice on deal structuring, recipe protection, and aligning shareholder rights and obligations to support the group’s long-term expansion strategy.

Representation of the renowned Singapore-based global hotel operator of luxury and ultra-luxury brands in connection with its new project in Khao Yai, Thailand, primarily focusing on the preparation of the so-called Strategic Partnership Agreement (which is akin to a super-sized Management Agreement) covering a wide range of issues, from strategic business planning to licensing, technical and design services, profit allocation, and other related agreements.

Advised international hotel operators on expanding regional headquarters into new markets, including establishing an affiliate entity to support asset-light Thailand portfolio of franchised and managed hotels. Assisted with corporate entity formation in compliance with Singapore and Thailand investment laws, tax registration, employment advice, foreign business license acquisition, and all aspects of international hotel operator development and franchising program in Thailand. Coordinated franchise registration, generated all regional growth program templates, and harmonized for local legal compliance.

Developed an alternative investment structure to allow the client to form a joint venture with a domestic third-party operating company and license development rights under a structure compliant with Japanese law.
