Represented a well-regarded white label hospitality company in advising and drafting Hotel Management Agreement Templates both in English and in Thai language for new upcoming projects. The scope included analysing operational control provisions, owner obligations, and dispute resolution mechanisms to ensure contractual flexibility and risk mitigation.

Spa and Onsen Operator – Management and Ancillary Agreements

Acted for Thailand’s leading spa and onsen operator, in drafting a comprehensive Spa and Onsen Management Agreement, Technical Services Agreement, together with associated ancillary agreements. The project included addressing intellectual property licensing, operational protocols, and revenue-sharing structures to support brand expansion and consistent guest experience.

International Hotel Operator – Regional Expansion and Franchising Program

Advised international hotel operator on expanding regional headquarters into new markets, including establishing an affiliate entity to support asset-light Thailand portfolio of franchised and managed hotels.  Assisted with corporate entity formation in compliance with Singapore and Thailand investment laws, tax registration, employment advice, foreign business regulations, and all aspects of international hotel operator development and franchising program in Thailand.

Global Hotel Operator – Market Entry and Franchise Structuring

Advised an international global hotel operator of luxury and ultra-luxury brands on market entry into Japan based on a novel "franchise light" business hotel development model for a  property in Kyoto, Japan.  Developed an alternative investment structure to allow the client to form a joint venture with a domestic third-party operating company and license development rights under a structure compliant with Japanese law.

International Individual – Long-Term Land Lease and Registration

Assisted an international individual in securing a 30-year lease of land in Thailand, including reviewing and negotiating the lease agreement to protect the client’s rights and ensure compliance with Thai Land Laws. Prepared all necessary documentation, and conducted title deed verification. Managed the full land registration process with the Land Office, ensuring accurate recording of the lease and safeguarding the client’s long-term use and interests in the property.

Asset Management Firm – Hotel Joint Venture and Property Acquisition

Advised asset management firm on all facets of pipeline development of acquisitions and asset management for hotels in Japan, including joint venture, financing, and property acquisition.  Providing guidance on joint venture with Japanese construction company and sale of Okinawa hotel to Hong Kong-based private equity investors, including transaction structuring, purchase and sale agreements, and retention of interests in joint venture operating vehicle responsible for development of branded residences and hotel development.

Institutional Investor – Hotel Company Acquisition in Thailand

Representation of a Singaporean institutional investor desiring to acquire a hotel-owning company for property located on Samui Island and Phangan Island in Thailand. Legal due diligence, the crafting of Hotel Management Agreement and hotel transaction documents, and contract negotiation are included in the scope of work.
